UNITED NATIONS CONVENTION ON CONTRACTS FOR INTERNATIONAL SALES OF GOODS
- Adopted in a conference in Vienna in 1980
- Came into force in 1988
- Composed by UNCITRAL ( United Nation Commission on International Trade Law )
Four parts:
Part 1: rules on the scope of its applications and rules of interpretation
Part 2: formation of contract
Part 3: the rights and obligations of buyers and sellers
Part 4: ratification and the entry into force of the Convention
THE SCOPE OF APPLICATION
- This convention applies to Contracts of sale of goods between parties whose places of business are in different states
- Neither the nationality of the parties nor the civil or commercial character of the parties or of the contract
E.G:
Hypothesis 1:
- Seller: POB: Vietnamese ( CISG )
- Buyer: POB: Australian ( CISG )
- S & B: Contract will be governed by CISG 1980
Hypothesis 2:
- Seller: Vietnamese, having place of business in Australia
- Buyer: POB: Australia
